"MistyNote" / "we" / "us" means Uwana Limited and its affiliates. "Platform" means the MistyNote website, mobile app, and all related services. "User" / "you" means any person who uses the Platform.
"Seller" — User with a storefront. "Buyer" — User who purchases through the Platform. "Verified Seller" — completed identity and business verification. "Pro Seller" — Verified Seller maintaining 4.5+ stars for 30 consecutive days.
"MistyNote Wallet" — in-platform digital wallet for deposits, purchases, transfers, and withdrawals. "Escrow" — mechanism holding purchase funds securely between payment and confirmed delivery.
These Terms govern your use of the Platform and incorporate all supplemental policies including the Privacy Policy, Community Guidelines, Seller Terms, Live Shopping Rules, and Wallet Terms.
You must provide accurate, current information and be at least 18 years old. Bulk, automated, or impersonation registrations are strictly prohibited. Each account is for personal use only and may not be transferred.
You are solely responsible for your login credentials. Report suspected unauthorised access immediately to legal@mistynote.com. We are not liable for losses from unauthorised use due to your failure to secure your account.
You may close your account through Settings. Content, credits, and saved data will be permanently deleted and cannot be recovered. We may suspend or close accounts that breach these Terms without notice. Inactive accounts with no pending balances or orders may be revoked after extended inactivity.
You may browse, post, comment, repost, and message. You are solely responsible for content you publish. AI-generated content must be clearly labelled. Direct messaging must not be used to harass, spam, or transmit prohibited content. Our system may detect and restrict external bank account details or payment credentials in messages to protect against fraud.
MistyNote is not a party to Buyer-Seller transactions and does not guarantee product quality, safety, or legality. Review all product details carefully before purchasing. Fraudulent purchasing activity is strictly prohibited.

Pro Seller status is earned automatically by maintaining a 4.5+ star rating, 20+ completed orders, 95% fulfilment rate, and sub-12-hour response time for 30 consecutive days. Pro status is revoked if performance drops below threshold, with a 7-day grace period to recover.
All purchases are processed through the MistyNote Wallet and escrow. Funds are held until the Buyer confirms delivery or the automatic confirmation period elapses. Disputed funds are held pending resolution. The escrow fee is included in the platform transaction fee — no separate charge to Buyers.
The Wallet is a closed-loop digital wallet operated in partnership with CBN-licensed payment providers. Funds deposited are used exclusively within the MistyNote ecosystem.
All MistyNote content, design, software, and branding is owned by or licensed to Uwana Limited. You may not reproduce, reverse engineer, or create derivative works without our written permission.
You retain ownership of content you publish. By publishing, you grant Uwana Limited a free, irrevocable, worldwide licence to use, reproduce, adapt, and distribute your content for the purpose of operating and improving the Platform.
Sellers must not list counterfeit, prohibited, or misleading products, and must not conduct transactions outside the MistyNote Platform to circumvent fees. Buyers must not make fraudulent purchases or file false dispute claims.
MistyNote is not responsible for losses from transactions conducted outside the Platform. Report suspected fraud to support@mistynote.com immediately. MistyNote may investigate suspicious activity, freeze accounts, reverse transactions, and report fraud to Nigerian authorities.
If you violate these Terms, MistyNote may restrict your account, remove content, suspend or close your account, freeze Wallet balances, cancel transactions, or report your conduct to Nigerian regulatory or law enforcement authorities.
THE MISTYNOTE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UWANA LIMITED SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED FEES PAID BY YOU IN THE SIX MONTHS PRECEDING THE CLAIM.
You agree to indemnify Uwana Limited from claims, liabilities, and expenses arising from your use of the Platform, your published content, or your breach of these Terms.
Verified Seller status requires accurate identity and business information plus an active subscription. Providing false information is a serious breach and may result in immediate suspension and referral to authorities.
Disputes should first be resolved directly between Buyer and Seller. If unresolved, either party may raise a formal dispute through the Platform. MistyNote's decisions are final subject to your rights under Nigerian consumer protection law. We do not intervene in disputes from transactions outside the Platform.
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to good-faith negotiation first — contact legal@mistynote.com. If unresolved within 60 days, disputes are submitted to the exclusive jurisdiction of Nigerian courts. Place of execution: Lagos State, Nigeria.
If you access MistyNote from outside Nigeria, you do so at your own initiative and are responsible for compliance with local laws. Nigerian law governs these Terms regardless of where you access the Platform.
We collect your email or phone, username, and password to create your account. Optional at registration: gender, interests, date of birth. Via Google Sign-In, we receive your name, email, and profile photo. Your profile photo, bio, and location are publicly displayed and editable at any time. Verified Sellers must provide BVN or government-issued ID — used solely for verification, never publicly displayed.
We collect your posts, likes, reposts, comments, searches, and interaction patterns to power content recommendations. Adjust personalisation at Me → Settings → Privacy → Personalisation Options. Saved content is private by default.
With your consent, we collect GPS location to display your city on your profile, recommend nearby sellers, pre-fill delivery addresses, and show relevant live sessions. Your exact coordinates are never publicly shown — only city and state level. Revoke location permission through your device settings at any time.
Messages are stored to enable conversation history. We do not routinely read private messages. We may review messages only where reported by a user, required by Nigerian law or court order, or where we suspect fraudulent or harmful activity. Our system may automatically detect and block messages containing external bank details to protect users from fraud.
We collect order details, payment amounts, delivery addresses, and all Wallet activity (deposits, withdrawals, transfers, escrow movements) for transaction processing, fraud detection, and CBN regulatory compliance. We do not store full bank card details.
We automatically collect device model, OS, IP address, network type, app version, session duration, and crash reports — used exclusively for security monitoring and improving Platform performance. Never used for advertising targeting.
MistyNote does not run third-party advertising and does not share your data with external ad networks. Promoted listings in the Market are from Sellers who paid for featured placement and are clearly labelled as such.
We do not sell your personal information to any third party. We share your data only in these limited circumstances:
Your data is stored on secure servers in Nigeria or jurisdictions with equivalent data protection standards. We retain data while your account is active, plus additional periods required by Nigerian law.
If a security breach occurs that is likely to affect your rights, we will notify you and relevant Nigerian authorities as required by law.
Update most personal information directly through your profile and account settings. For a full export of your personal data, contact privacy@mistynote.com.
Privacy controls at Me → Settings → Privacy: who can see your posts and Moments; personalised content on/off; location shown on profile; notification preferences; read receipts in DMs; discoverability by contacts.
For automated decisions significantly affecting your rights (account suspension, seller tier demotion), you may request a human review at privacy@mistynote.com.
Close your account at any time via Me → Settings → Account → Close Account. Before closing: withdraw any Wallet balance; ensure all orders are fulfilled or cancelled; resolve any pending disputes.
Upon closure, your public profile and posts are removed. Private data (messages, order history, Wallet records) is retained for the period required by Nigerian law — typically 5–7 years for financial records — then permanently deleted. Closed accounts cannot be recovered.

All providers sign data processing agreements limiting their use of your data to the specific service they provide.
We use essential cookies (login sessions, security tokens), preference cookies (your settings), and anonymised analytics cookies to understand Platform usage. We do not use cookies for third-party advertising. Disabling cookies through your browser may prevent login or access to some features.
We respond to privacy requests within 30 days (up to 60 for complex requests, with notification within the initial 30-day window).
